These terms govern the use of the Akal Digital website and the services we offer. We have written them to be as clear as possible. If any part is unclear, please contact us before engaging — we are happy to explain. By accessing this site or engaging our services, you are agreeing to these terms.

- Akal Digital, a business entity registered and operating from 5 Jalan Bukit Bintang, 55100 Kuala Lumpur, Malaysia.
- "Client" / "you"
- The individual, business, or organisation engaging Akal Digital's services or accessing this website.
- "Services"
- AI integration consulting, technical training, and implementation services as described on this website or in a service agreement.
- "Agreement"
- These Terms, together with any service proposal, scope of work, or invoice issued and accepted between the parties.
- "Content"
- All materials, deliverables, documentation, training materials, and outputs produced as part of a service engagement.
2. Acceptance of Terms
By using this website or engaging Akal Digital for services — whether through an enquiry form, email correspondence, or a signed service agreement — you agree to these Terms in full.
- You must be at least 18 years of age and have the legal capacity to enter into a binding agreement.
- If you are engaging on behalf of a business, you confirm that you have the authority to bind that business to these Terms.
- If you do not agree with any part of these Terms, we ask that you not use this website or engage our services, and contact us to discuss any concerns.
3. Service Description
Akal Digital provides AI integration consultancy and technical training services to businesses in Malaysia and the surrounding region. Current service offerings include:
AI for Talent Acquisition Enhancement
A structured engagement introducing AI tooling into recruitment processes, covering tool selection, bias review protocols, and recruiter training. Scope and duration are confirmed at engagement start.
Machine Learning Operations Training
A technical programme covering MLOps disciplines including deployment pipelines, model monitoring, and automated retraining. Participant numbers and session format are agreed prior to delivery.
AI-Driven Document Search Platform
Implementation of an intelligent document retrieval system, including indexing configuration, natural language search setup, and access control integration. Detailed scope is defined in a project brief.
Services are available subject to scheduling availability. Akal Digital reserves the right to decline an engagement where the scope falls outside our areas of practice.
4. Client Responsibilities
A successful engagement depends on collaboration. As a client, you agree to:
- Provide accurate and complete information about your organisation, systems, and requirements at the outset and throughout the engagement.
- Grant reasonable access to systems, data, and personnel required for service delivery, in a timely manner.
- Ensure that any data shared with Akal Digital during an engagement has been collected and may be used lawfully.
- Attend agreed sessions, review deliverables within reasonable timeframes, and communicate feedback promptly.
- Not use our website or services for any unlawful purpose, including activities that infringe third-party intellectual property or violate the Malaysian Communications and Multimedia Act.
5. Intellectual Property
Intellectual property rights in this context are handled as follows:
Our Content
All website content, frameworks, methodologies, and training materials created by Akal Digital remain our intellectual property. You may not reproduce or redistribute them without written permission.
Your Data
Any proprietary data or materials you share with us remain your property. We use them only to deliver the agreed service and do not claim any rights over them.
Deliverables
Where a service engagement results in specific deliverables (documentation, configuration files, training materials tailored to your organisation), ownership of those client-specific outputs transfers to you upon receipt of full payment. Akal Digital retains the right to use underlying methodologies and frameworks in other engagements.
6. Payment Terms
All prices are in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless stated otherwise.
- Payment schedule: A deposit of 50% is typically required before work commences, with the remainder due upon completion. Specific arrangements are confirmed in the service proposal.
- Accepted methods: Bank transfer (TT), FPX online transfer, or other methods agreed in writing.
- Late payment: Invoices unpaid beyond 30 days may incur a late payment charge of 1.5% per month on the outstanding balance.
- Scope changes: Work requested beyond the agreed scope will be quoted separately. We will always seek your approval before proceeding with additional billable work.
- Cancellation: If an engagement is cancelled after commencement, fees for work completed to date are payable. Deposits are non-refundable once work has begun, unless otherwise agreed in writing.
7. Service Delivery
We are committed to delivering services to the standard described in our service proposals. Please note:
- Timelines are estimates based on information available at the time of scoping. Delays caused by factors outside our control, including late delivery of required materials from the client, may extend the timeline.
- We offer a post-delivery support window of 30 days for questions related to delivered work, at no additional charge.
- Services are delivered remotely or on-site in the Klang Valley, as agreed. Travel beyond Kuala Lumpur may incur additional costs, disclosed in advance.
8. Confidentiality
We recognise that clients share sensitive information in the course of an engagement. We treat all non-public information shared with us as confidential and will not disclose it to third parties without your written consent, except:
- Where required by Malaysian law or a court order
- To sub-contractors or collaborators bound by equivalent confidentiality obligations, where necessary for service delivery
This obligation continues for two years after the conclusion of an engagement. We may request a formal NDA for engagements involving particularly sensitive organisational information.
9. Disclaimers
Please read this section with care:
No specific outcome assurances. AI integration is a developing field with variable outcomes depending on organisational readiness, data quality, and implementation context. We do not represent that specific business metrics will be achieved as a result of our services.
Website accuracy. We make reasonable efforts to keep information on this site current and accurate. However, it is provided for general informational purposes and may not reflect the latest developments in AI tools or regulatory requirements.
Third-party tools. Where our services involve configuring or training on third-party AI platforms, we are not responsible for changes those platforms make to their pricing, availability, or functionality after our engagement concludes.
10. Limitation of Liability
To the extent permitted under Malaysian law:
- Akal Digital's total liability for any claim arising from a service engagement is limited to the total fees paid by the client for that specific engagement.
- We are not liable for indirect, consequential, or incidental losses, including loss of profit, data loss, or reputational damage, even if we were advised of the possibility of such losses.
- Nothing in these Terms limits our liability for fraud, gross negligence, or personal injury caused by our acts or omissions.
11. Termination
Either party may end an engagement under the following circumstances:
- By mutual agreement — at any time, in writing, with agreed terms for work completed.
- By the client — with 14 days' written notice. Fees for work completed to date are payable.
- By Akal Digital — with 14 days' written notice if the client materially breaches these Terms and does not remedy the breach within 7 days of notification.
Upon termination, sections covering confidentiality, intellectual property, payment for work completed, and limitation of liability continue to apply.
12. Dispute Resolution
We hope that any concerns can be resolved through open discussion. Our preference is always to find a fair outcome without formal proceedings.
- Informal resolution: Contact us at [email protected] with a written description of the issue. We will respond within 10 working days.
- Mediation: If informal resolution is not reached within 30 days, both parties may agree to engage a mediator through the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.
- Governing law: These Terms are governed by the laws of Malaysia. Any formal proceedings shall be brought in the courts of Kuala Lumpur.
13. General Provisions
Entire agreement. These Terms, together with any service proposal or written agreement, constitute the entire agreement between the parties regarding the subject matter and supersede prior discussions.
Severability. If any provision of these Terms is found unenforceable by a court, the remaining provisions continue to apply.
No waiver. Failure to enforce any provision does not constitute a waiver of that right in the future.
Assignment. You may not assign your obligations under these Terms without our written consent. We may engage qualified sub-contractors to assist with service delivery.
Force majeure. Neither party is liable for delays caused by events beyond reasonable control, including natural events, infrastructure failures, or government actions.
14. Changes to These Terms
We may revise these Terms from time to time. Material changes will be reflected in the "Last Updated" date at the top of this page. For active service engagements, we will notify clients of material changes via email. Continued use of our website or services after an update indicates acceptance of the revised Terms.
